Resumen en español El Proyecto de Ley 038 de 2015, presentado por el Gobierno nacional, trae una serie de cambios importantes al régimen de libre competencia colombiano, algunos de los cuales han suscitado preocupaciones por parte de la academia. El presente documento analiza ocho puntos polémicos del citado proyecto, contribu- yendo al debate que en torno a la propuesta del Ejecutivo se ha generado en la materia. Así las cosas, en primer lugar, se abordan los aspectos referentes a la estructura institucional de la Superintendencia de Industria y Comercio – sic – (independencia y concentración en un mismo órgano de las potestades de instrucción y juzgamiento en procedimientos administrativos). En segundo lugar, se examina la asignación de facultades jurisdiccionales a la Autoridad Nacional de Competencia para pronunciarse sobre pretensiones indemni- zatorias en ejercicio de acciones individuales o de grupo. Enseguida, se estudia el papel del Consejo Asesor de este organismo, haciendo especial énfasis en las nuevas audiencias que propone el proyecto referido, para, a fortiori, analizar los inconvenientes que emergen del nuevo sistema de multas allí establecido. A continuación, se hace una breve mención en torno a la conveniencia o no de preservar el sistema de multas a personas naturales..
Resumen en inglés Bill n.º 038-2015, submitted by the Government, brings about some important amendments to the competition regime, some of which have given rise to concerns in academia. This paper analyzes eight contentious topics of the aforementioned Bill, contributing in this manner to the debate that has emerged about the Executive’s proposal. Thus and firstly, aspects related to the institutional structure of the Superintendence of Industry and Com- merce (independence and concentration in the same agency of investigative and judging powers during administrative proceedings) are addressed. Subsequently, one of the most discussed topics of the Bill is reviewed, this is, the concession of jurisdictional powers to the Antitrust National Agency to rule on indemnity claims arisen from individual or class actions. Next, the paper studies the Counselor-Committee’s role, emphasizing on the new hearings that the Bill introduces, to analyze, afterwards, the drawbacks that emerge from the new fining-system therein stated. Then, the document briefly comments about the debate that has arisen with respect to the convenience or inconvenience of preserving fines to individuals. Later on, the criminalization of competition law is addressed –making specific reference to the international discussion related to this topic– and the ability to exercise criminal prosecution powers by the Superintendence of Industry and Commerce. Finally, the paper examines the amendments to the merger control system introduced by the Bill, specifically the binding nature that the proposed act intends to grant to the concept rendered by the Superintendence of Industry and Commerce with regards to mergers in the financial and aeronautical sectors..
